IMPERONEX LTD ("IMPERONEX", "we", "us", or "our") operates this online store and website, including all related information, content, features, tools, products and services offered to you (collectively, the "Services").
Our online store is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service ("Terms"), together with our Privacy Policy, Return & Refund Policy, Shipping Policy and any other policies referenced on our website, describe the terms that apply when you access, browse, use or purchase through our Services.
Please read these Terms carefully before using our Services or placing an order.
Nothing in these Terms limits or excludes any consumer rights that cannot legally be limited or excluded under applicable law.
SECTION 1 — ELIGIBILITY AND ACCOUNTS
By using the Services, you confirm that you are legally capable of entering into a binding agreement under the laws applicable to you.

Nothing in this section affects your mandatory rights where a product is faulty, not as described, not of satisfactory quality or otherwise fails to meet rights provided by applicable consumer law.
SECTION 3 — ORDERS AND ORDER ACCEPTANCE
By placing an order, you make an offer to purchase the products included in that order.
After you place an order, you may receive an order confirmation or acknowledgement electronically.
We reserve the right to reject or cancel an order where reasonably necessary, including because of suspected fraud, unauthorized payment, genuine pricing or inventory errors, product unavailability, delivery restrictions or other legitimate operational reasons.
If we cancel an order after payment has been taken, any amount due back to you will be refunded in accordance with applicable law.
Please review your order carefully before submitting it.
If you wish to cancel an order, contact us as soon as possible at support@imperonex.com. We will make reasonable efforts to process your request before the order is dispatched.
If an order has already been dispatched, your cancellation or return may instead be handled in accordance with our Return & Refund Policy and applicable consumer law.
SECTION 4 — PRICES, BILLING, TAXES AND PAYMENT
Product prices are displayed through our store and may vary depending on market, currency, promotions or other legitimate factors.
The price applicable to your order will normally be the price displayed when the order is submitted, subject to genuine errors and applicable law.
Before completing your purchase, you will be shown the total amount payable through checkout, including any charges that we are required to disclose and collect.
Our treatment of shipping charges, taxes and other applicable charges may depend on the destination market and will be displayed or communicated where required before purchase.
Where IMPERONEX expressly states that particular shipping charges or taxes are covered by us, that statement applies subject to the terms, destinations and conditions specified in our Shipping Policy or at checkout.

By submitting a payment method, you confirm that you are authorized to use it.

SECTION 5 — SHIPPING AND DELIVERY
We aim to process and deliver orders as efficiently as reasonably possible.
Estimated delivery times depend on the destination, product availability, carrier operations, customs processing and other relevant circumstances.
Delivery estimates may vary depending on the destination, product and shipping method and will be communicated where applicable through our website, product pages, checkout or Shipping Policy.
Delivery timeframes are estimates unless we expressly agree otherwise.
Orders may occasionally be affected by circumstances outside our reasonable control, including carrier disruptions, customs procedures, severe weather, public holidays or unusually high shipping volumes.
Where tracking is available, tracking information may be provided after dispatch.
Please ensure that the delivery information supplied with your order is complete and accurate.

Nothing in this section limits any delivery rights available to you under applicable consumer law.
SECTION 6 — 30-DAY RETURNS
In addition to any mandatory rights available under applicable consumer law, IMPERONEX offers a 30-day return period subject to our Return & Refund Policy.
A return request under our voluntary 30-day policy should be submitted within 30 days of receiving the order.
Eligibility, product condition requirements, return procedures, return shipping responsibilities and refund processing are explained in our Return & Refund Policy.
Nothing in our voluntary return policy limits any separate statutory rights you may have regarding faulty, damaged, incorrect or misdescribed goods.
SECTION 7 — PRODUCT WARRANTIES
Certain IMPERONEX products may include a commercial or additional warranty where such a warranty is expressly advertised on the relevant product page, included with the product or otherwise confirmed by IMPERONEX.
The duration, coverage and conditions of any commercial warranty may vary depending on the product and will be stated where applicable.
Unless otherwise stated, any applicable commercial warranty period begins on the date the original customer receives the eligible product.
Commercial warranties generally apply only to qualifying defects in materials or workmanship arising under normal and intended use, subject to the specific warranty terms provided for the relevant product.
Unless applicable law requires otherwise or the relevant warranty expressly provides otherwise, commercial warranties do not cover damage or malfunction caused by misuse, abuse, accidental damage, unauthorized modification or repair, improper handling, failure to follow applicable product instructions, or normal cosmetic wear and tear.
If you believe a product is covered by an applicable commercial warranty and has developed a qualifying fault, contact support@imperonex.com with your order information and a description of the issue.
We may reasonably request photographs, video or other information necessary to assess the warranty request.
Depending on the applicable warranty and circumstances, an approved warranty claim may result in repair, replacement or another appropriate remedy.
Any commercial warranty offered by IMPERONEX is provided in addition to, and does not replace or limit, mandatory consumer rights or remedies available under applicable law.
SECTION 8 — INTELLECTUAL PROPERTY
The IMPERONEX name, branding, logos, original website design, original text, graphics and other materials created or owned by IMPERONEX LTD are protected by applicable intellectual property laws.
Certain trademarks, software, applications, product images, product names or other materials displayed through the Services may belong to their respective owners, manufacturers, suppliers or licensors.
Their appearance through our Services does not transfer ownership of those rights to IMPERONEX LTD.
You may use our Services for personal and lawful purposes.
Unless permitted by law or authorized by the applicable rights holder, you may not reproduce, distribute, modify, republish, commercially exploit or create derivative works from protected materials available through the Services.
SECTION 9 — THIRD-PARTY SERVICES AND APPLICATIONS
Certain product functions or website features may rely on third-party applications, software, telecommunications networks, SIM services, payment providers, mapping services or other third-party technologies.
Availability and functionality of third-party services may depend on the applicable provider, device, operating system, country, network or subscription.
Where a third-party service is outside our reasonable control, we cannot guarantee that it will remain continuously available or unchanged.
Your use of third-party services may also be governed by the applicable third party's own terms and privacy policies.
Nothing in this section limits responsibility that cannot legally be excluded.

If you access a third-party website, its own terms, privacy policy and practices will apply.

Our online store is powered by Shopify.
Shopify provides ecommerce technology and related services that enable us to operate our store.
Products purchased directly from our store are sold by IMPERONEX LTD unless expressly stated otherwise.
Shopify is not the seller of IMPERONEX products merely because its technology is used to operate our store.
Shopify may separately provide payment, account or other services subject to its own applicable terms.
SECTION 12 — PRIVACY
We process personal information in accordance with our Privacy Policy and applicable data protection law.
Shopify and other authorized service providers may process certain information where necessary to operate our store, process payments, provide security, fulfil orders or perform other legitimate business functions.

To the maximum extent permitted by applicable law, IMPERONEX LTD will not be responsible for losses that were not reasonably foreseeable when the contract was formed or losses resulting solely from circumstances outside our reasonable control, except where applicable law provides otherwise.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.
SECTION 19 — INDEMNIFICATION
To the extent permitted by applicable law, you agree to be responsible for third-party claims, losses or reasonable costs arising directly from your unlawful use of the Services, material violation of these Terms or infringement of another person's legal rights.
Nothing in this section requires a consumer to indemnify IMPERONEX for matters for which IMPERONEX is legally responsible.
SECTION 20 — TERMINATION
We may suspend or terminate access to the Services where reasonably necessary, including where these Terms have been materially violated, fraudulent or unlawful activity is suspected, or the security or operation of our Services is threatened.
Termination does not affect rights or obligations that arose before termination.

If any provision of these Terms is determined by a competent court or authority to be unlawful, invalid or unenforceable, that provision will be interpreted or severed only to the extent necessary.
The remaining provisions will continue in effect.

These Terms, together with the policies and terms expressly incorporated into them, form the agreement governing your use of the Services and purchases from IMPERONEX, subject to mandatory rights that cannot legally be excluded.

These Terms and contracts between you and IMPERONEX LTD are governed by the laws of England and Wales.
If you are a consumer residing outside England and Wales, nothing in this section deprives you of mandatory consumer protections or rights that apply to you under the law of your country of residence or another jurisdiction whose protections legally apply.

We may update these Terms from time to time to reflect changes to our Services, business practices or legal requirements.
The current version will be published on our website together with the applicable "Last Updated" date.
Changes to these Terms will not retrospectively remove mandatory consumer rights or contractual rights already accrued where applicable law prohibits this.
